Creator Program Terms & Conditions

Program Operator

The De Mairo Creator Program is operated by Aminelli De Mairo Colours Inc., referred to in these Terms as “De Mairo,” “we,” “our,” or “us.”

Eligibility & Application

The Program is intended for artists, creators, educators, workshop instructors, paint makers, conservators, restorers, traditional-art practitioners, students, museum and heritage professionals, and other individuals or organizations whose communities may have a genuine interest in De Mairo products.

Applicants must be legally able to enter into these Terms in their country or region.

Submitting an application does not automatically create an active Creator relationship or commission eligibility.

De Mairo reviews applications and may approve, decline, pause or request additional information from an applicant.

If an applicant is invited to continue, the applicable qualifying purchase requirement must be completed or verified before Creator access to the selected category is activated.

Creator Categories

Creator access is organized by product category. A Creator Category means a group of eligible De Mairo products that a Creator is authorized to promote and earn commission from.

A Creator may qualify for one or more Creator Categories. Each category must be separately qualified for before it is activated.

If a Creator later qualifies for another category, De Mairo may expand the Creator's existing access to include the additional eligible products.

De Mairo may add, remove, rename or reorganize Creator Categories prospectively as the Program develops.

Qualifying Product Requirement

To activate a Creator Category, the Creator must personally purchase or already own an eligible qualifying De Mairo product from that category.

Existing De Mairo Customers

Existing customers may provide their previous order number and the email address used at checkout.

De Mairo may verify that the order exists, was paid, was not fully refunded and contains an eligible qualifying product for the requested Creator Category.

New Applicants

Applicants who do not already own a qualifying product should first submit their Creator application.

If invited to continue, they may then purchase an eligible product from the Creator Category they wish to activate.

Creator access for that category begins only after De Mairo verifies the qualifying purchase.

This requirement exists because De Mairo wants Creators to recommend materials from genuine personal experience rather than promote product categories they have never used.

Eligible Products

Creator commission applies only to eligible products included in the Creator Categories currently activated for that Creator and included in the applicable Shopify Collabs Creator offer or Program configuration.

Workshops, gift cards, selected limited-edition products, excluded products and other goods or services specifically excluded by De Mairo do not qualify unless De Mairo expressly states otherwise.

De Mairo may add or remove eligible products prospectively.

Creator Commission

New Customers

The current Creator commission rate for qualified eligible new-customer purchases is 20%.

Returning Customers — 90-Day Creator Benefit

De Mairo currently offers a 10% Creator commission on qualifying returning-customer purchases made within 90 days of that customer's first qualifying purchase attributed to the same Creator.

The 90-day period begins on the date of the customer's first qualifying purchase successfully attributed to that Creator.

Returning purchases must contain eligible products within the Creator Categories activated for that Creator and must otherwise meet all requirements of the De Mairo Creator Program.

Returning-customer commission does not apply to purchases that cannot reasonably be connected to the Creator, self-referrals, cancelled or refunded orders, fraudulent transactions, excluded products or other non-qualifying activity.

Commissionable Value

Commission applies only to merchandise value recorded or determined as eligible and commissionable under the applicable Creator relationship.

Taxes, shipping charges, duties, import fees, gift cards, workshops, excluded products and other non-eligible charges do not earn Creator commission.

Customer discounts and promotions may affect the transaction value recorded by Shopify Collabs.

The final commission amount is determined from the eligible commissionable value of the qualifying transaction under the applicable Program settings.

Earnings examples displayed on the De Mairo website using listed retail prices are illustrations only and may differ from the final commission recorded for an actual transaction.

Creator Link & Creator Code

Approved and activated Creators receive a personal Creator referral link and an assigned Creator discount code through Shopify Collabs.

Eligible purchases may be attributed to the Creator through the Creator's personal link, assigned Creator code or another attribution method supported by Shopify Collabs or reasonably verified by De Mairo where these Terms specifically provide for manual review.

A customer does not need to use both the Creator link and the Creator code for the same purchase.

If a customer's purchase cannot reasonably be connected to the Creator through available referral, code, attribution or verification information, De Mairo may be unable to credit the transaction.

Customer Discounts

The current Creator customer benefit is 5% off eligible products associated with the Creator Categories activated for that Creator.

The eligible products attached to a Creator's code may expand if additional Creator Categories are activated.

First-Time Subscriber Offer

Eligible first-time subscribers may also receive an additional 5% first-order subscriber discount where available and where the applicable Shopify discount-combination settings permit.

The Creator discount and subscriber discount are separate promotions. When two sequential 5% discounts both apply to the same eligible merchandise value, the effective combined saving is 9.75%, rather than exactly 10%.

Creators must not promise, advertise or represent discounts beyond the promotions currently authorized by De Mairo.

Discounts and subscriber offers may be modified, suspended or withdrawn prospectively.

Product Purchase Reimbursement

Buy It. Sell 10. Get Reimbursed.

A Creator who personally purchases an eligible qualifying product may become eligible for reimbursement of that qualifying product purchase after generating 10 Qualified Sales of the same qualifying product.

What Counts as a Qualified Sale?

A Qualified Sale is a completed eligible customer order attributed to the Creator that contains the same qualifying product originally purchased by the Creator and successfully clears the applicable validation period.

Unless De Mairo expressly states otherwise, the milestone requires 10 separate qualified customer orders.

Multiple units of the qualifying product purchased in one customer order count as one Qualified Sale toward the reimbursement milestone.

Sales That Do Not Qualify

• Cancelled orders.
• Fully refunded orders.
• Fraudulent or manipulated transactions.
• Creator self-referrals.
• Orders created primarily to manufacture eligibility.
• Orders that do not contain the applicable qualifying product.
• Transactions that cannot reasonably be attributed to the Creator.

Reimbursement Amount

Reimbursement is limited to the eligible merchandise amount actually paid by the Creator for the applicable qualifying product, excluding taxes, shipping charges, duties, import fees and other non-product charges.

Creator commission earned on the 10 Qualified Sales is separate from the reimbursement benefit.

Reimbursement eligibility remains subject to De Mairo verification after all 10 Qualified Sales clear the applicable validation period.

Validation & 30-Day Holding Period

Creator commissions are subject to a 30-day holding period so that cancellations, refunds, eligible returns, chargebacks and other order adjustments can be resolved before commission becomes final.

Orders that are cancelled, refunded or otherwise determined to be non-qualifying may have associated commissions declined, reversed or adjusted.

Shopify Collabs & Creator Payouts

Creator referrals, attribution, commission tracking and eligible payouts are administered primarily through Shopify Collabs and Shopify's supported Creator payout services.

Creators are responsible for creating and maintaining any account required by Shopify and for supplying accurate payout and tax information to the applicable payout provider.

De Mairo does not receive or store personal bank-account information submitted by Creators through Shopify's payout system.

Available payout methods may vary by country or region.

Where De Mairo manually approves a returning-customer commission under the 90-day Creator benefit, processing may require additional review or administrative handling.

International Creators

International Creators may apply where De Mairo can reasonably serve the market and where Shopify Collabs or the applicable payout provider supports the Creator relationship and payout services.

Creators are responsible for complying with local laws, taxation requirements and disclosure obligations in their own jurisdiction.

Gold Creator Status

A Creator who reaches 100 qualified eligible customer orders may become eligible for De Mairo Gold Creator status or Gold Creator opportunities.

Gold Creator opportunities may include selected complimentary samples, early access to products, new-product demonstrations, special discount opportunities, Creator features, promotional opportunities and collaborations.

Gold benefits are opportunities rather than guaranteed entitlements. Products, campaigns, quantities, timing and availability remain at De Mairo's discretion.

Creator Responsibilities

Creators must represent De Mairo and its products accurately, professionally and honestly.

Creators must:

• Clearly disclose their Creator relationship where required.
• Share genuine opinions and experiences.
• Use current and accurate De Mairo product information.
• Follow applicable advertising and consumer-protection requirements.
• Respect copyright, trademarks and third-party intellectual property.
• Follow the rules of platforms, groups, events and communities where promotion occurs.

Prohibited Conduct

Creators may not:

• Purchase through their own Creator link or code to generate commission.
• Create fraudulent, artificial or sham transactions.
• Ask others to create artificial transactions for commission or milestone purposes.
• Publish Creator codes on unauthorized coupon, deal or voucher websites.
• Send unsolicited spam or promotional messages.
• Impersonate De Mairo or present themselves as a De Mairo employee.
• Make false, misleading or unsupported product claims.
• Make medical, therapeutic or health claims about De Mairo products.
• Make unsupported safety, historical, conservation or performance claims.
• Advertise promotions or discounts not authorized by De Mairo.
• Manipulate referral tracking or returning-customer attribution.
• Engage in deceptive advertising, domain or trademark practices involving the De Mairo name.

Product & Marketing Claims

Creators should use product descriptions, technical information and factual claims supplied or approved by De Mairo.

Personal artistic opinions and experiences are welcome but should be presented as personal experience rather than scientific, technical or historical fact.

Creator Content

Creators retain ownership of original content they create unless a separate written agreement states otherwise.

Tagging De Mairo or participating in the Creator Program does not automatically transfer ownership of Creator content to De Mairo.

If De Mairo wishes to use Creator content beyond ordinary platform-native sharing or reposting, additional permission may be requested where appropriate.

Taxes

Creators are responsible for determining and satisfying their own tax reporting and payment obligations relating to Creator income, commissions and reimbursements.

Shopify or its payout providers may request tax information or documentation where required.

No Guaranteed Earnings

Participation in the De Mairo Creator Program does not guarantee any minimum number of sales, commissions, reimbursements, income or other financial return.

Earnings projections or examples displayed on De Mairo's website are illustrations only and depend on qualifying transactions, actual commissionable values, product pricing, discounts, customer activity, attribution and Program rules.

Relationship With De Mairo

Participation in the Creator Program does not create an employment, franchise, agency, distributorship, joint venture, exclusive relationship or legal partnership between the Creator and De Mairo.

Creators have no authority to enter into contracts, make commitments or incur obligations on behalf of De Mairo.

Suspension & Termination

Either the Creator or De Mairo may end participation in the Program.

De Mairo may suspend or terminate Creator access for suspected fraud, self-referral, misleading promotion, misuse of codes, manipulation of returning-customer claims, violation of these Terms or conduct that may reasonably harm De Mairo, its customers or its reputation.

De Mairo may also suspend or deactivate one specific Creator Category without necessarily terminating the Creator's access to other qualifying categories.

Pending commissions remain subject to validation, refunds, chargebacks, attribution and applicable Program rules.

Uncompleted milestone benefits may be forfeited where participation is terminated because of a material violation of these Terms.

Program Changes

De Mairo may modify the Creator Program prospectively, including Creator Categories, category eligibility, products, commission rates, the 90-day returning-customer benefit, customer discounts, reimbursement requirements, Gold Creator opportunities and other Program features.

Material changes may be communicated through the Creator Program page, email, Shopify Collabs or another reasonable method.

Privacy

Information submitted through the Creator application or used in administering the Program may be processed by De Mairo and applicable service providers, including Shopify, for Program review, administration, attribution and payout purposes.

Where De Mairo reviews a returning-customer transaction for the 90-day Creator benefit, available order and referral records may be used for the limited purpose of determining Creator eligibility.

De Mairo's general Privacy Policy continues to apply where relevant.

Governing Law

These Terms are intended to be governed by the applicable laws of the Province of Ontario and the federal laws of Canada applicable therein, subject to mandatory rights that cannot lawfully be excluded in a Creator's jurisdiction.

Acceptance of Terms

By accepting a De Mairo Creator Program invitation, activating a Creator Category or otherwise participating in the Program, the Creator confirms that they have read, understood and agreed to these Terms.
