Creator Program Terms & Conditions

1. Program Operator

The De Mairo Creator Program is operated by Aminelli De Mairo Colours Inc., referred to in these Terms as “De Mairo,” “we,” “our,” or “us.”

2. Eligibility & Application

The Program is intended for artists, creators, educators, instructors, paint makers, conservators, traditional-art practitioners and other individuals or organizations whose communities may have a genuine interest in De Mairo products.

Applicants must be legally able to enter into these Terms in their country or region. Applications are subject to review and approval by De Mairo.

Submission of an application does not guarantee acceptance. De Mairo may approve, decline, pause or request additional information regarding an application.

3. Qualifying Product Requirement

Before a Creator partnership becomes active, the Creator must personally own an eligible product included in the De Mairo Creator Program Collection.

Existing De Mairo customers

Existing customers may provide their previous De Mairo order number and the email address used at checkout. De Mairo may verify that the order exists, was paid, was not fully refunded and contains an eligible Creator Program product.

New applicants

Applicants who do not yet own an eligible product may purchase an eligible Creator Program product after application review. The Creator partnership will only be activated after the qualifying purchase has been verified.

4. Eligible Products

Creator commissions apply only to products currently included in the De Mairo Creator Program Collection.

Workshops, selected limited-edition products, gift cards and other products or services specifically excluded by De Mairo do not qualify unless expressly stated otherwise.

De Mairo may add or remove products from the Creator Program Collection prospectively.

5. Creator Commission

New customers

The current Creator commission rate for qualified eligible new-customer purchases is 20%.

Returning customers

The current commission rate for qualifying returning-customer purchases attributed by Shopify Collabs to the Creator is 10%.

Returning-customer attribution remains dependent on Shopify Collabs tracking and applicable Program settings.

Commissionable value

Commission applies only to eligible merchandise value recorded as commissionable by Shopify Collabs under the Creator's applicable offer.

Taxes, shipping charges, duties, import fees, gift cards, workshops, excluded products and other non-eligible charges do not earn Creator commission.

6. Creator Link & Discount Code

Approved Creators receive a personal referral link and an assigned Creator discount code through Shopify Collabs.

Eligible purchases may be attributed to the Creator through the Creator's link, assigned discount code or another attribution method supported by Shopify Collabs.

If Shopify Collabs cannot identify the Creator as the applicable referral source, De Mairo may be unable to credit the purchase to that Creator.

7. Customer Discounts

The current Creator customer benefit is 5% off eligible Creator Program products through an assigned Creator discount code.

Eligible new subscribers may also receive an additional 5% first-order subscriber benefit where Shopify's discount-combination rules permit.

Discounts may be changed, suspended or withdrawn prospectively by De Mairo.

Creators may not modify, misrepresent or promise discounts beyond those currently authorized by De Mairo.

8. Product Purchase Reimbursement

What counts as a Qualified Sale?

For purposes of the reimbursement milestone, a Qualified Sale is a completed eligible customer order attributed to the Creator that contains the same qualifying product originally purchased by the Creator and that successfully clears the applicable validation period.

Unless De Mairo expressly states otherwise, the milestone requires 10 separate qualified customer orders. Multiple units purchased within a single order count as one Qualified Sale for the reimbursement milestone.

Sales that do not qualify

• Cancelled orders
• Fully refunded orders
• Fraudulent or manipulated transactions
• Creator self-referrals
• Orders placed primarily to manufacture eligibility
• Orders containing a different product from the Creator's qualifying product
• Transactions not properly attributed to the Creator

Reimbursement amount

The reimbursement is limited to the eligible merchandise amount actually paid for the Creator's qualifying product, excluding taxes, shipping charges, duties and other non-product charges.

Creator commission earned on the 10 Qualified Sales is separate from the reimbursement benefit.

Reimbursement eligibility is subject to De Mairo verification after all 10 Qualified Sales have cleared the applicable validation period.

9. Validation & 30-Day Holding Period

Creator commissions are subject to a 30-day holding period so that cancellations, refunds, eligible returns, chargebacks and other order adjustments can be resolved before commission becomes final.

Orders that are cancelled, refunded or otherwise determined to be non-qualifying may have associated commissions declined, reversed or adjusted.

10. Shopify Collabs & Creator Payouts

Creator referrals, commission tracking and eligible payouts are administered through Shopify Collabs and Shopify's supported Creator payout services.

Creators are responsible for creating and maintaining any account required by Shopify and for providing accurate payout and tax information to the applicable payout provider.

De Mairo does not receive or store the Creator's personal bank-account information submitted through Shopify's payout system.

Available payout methods may vary by country or region.

11. International Creators

International Creators may apply where De Mairo can reasonably serve the market and where Shopify Collabs or the applicable payout service supports participation and payouts.

Creators are responsible for complying with local laws, tax requirements and disclosure obligations in their own jurisdiction.

12. Gold Creator Status

A Creator who reaches 100 qualified eligible customer orders may become eligible for De Mairo Gold Creator status.

Gold Creator benefits may include selected complimentary samples, new-product demonstrations, early product access, promotional opportunities, Creator features and special collaborations.

Gold benefits are opportunities rather than guaranteed entitlements. Specific products, campaigns, quantities and availability remain at De Mairo's discretion.

13. Creator Responsibilities

Creators must represent De Mairo and its products accurately, professionally and honestly.

Creators must:

• Clearly disclose their Creator relationship when required by law or platform rules.
• Share genuine opinions and experiences.
• Use current and accurate De Mairo product information.
• Follow applicable advertising, endorsement and consumer-protection requirements.
• Respect copyright, trademarks and third-party intellectual property.
• Follow the rules of any platform, group, event or community where promotion occurs.

14. Prohibited Conduct

Creators may not:

• Purchase through their own Creator link or code to generate commission.
• Create fraudulent, artificial or sham transactions.
• Publish Creator codes on unauthorized coupon, deal or voucher websites.
• Send unsolicited spam or promotional messages.
• Impersonate De Mairo or present themselves as an employee or official representative of De Mairo.
• Make false, misleading or unsupported product claims.
• Make medical, therapeutic or health claims about De Mairo products.
• Make unsupported claims about safety, historical use, conservation suitability or product performance.
• Advertise discounts or promotions not authorized by De Mairo.
• Engage in deceptive paid-search, domain, trademark or advertising practices using the De Mairo name.

15. Product & Marketing Claims

Creators should use product descriptions, technical information and factual claims supplied or approved by De Mairo.

Personal artistic opinions and experiences are welcome, but they should be clearly presented as personal experience rather than scientific or historical fact.

16. Creator Content

Creators retain ownership of original content they create unless a separate written agreement states otherwise.

Tagging De Mairo or participating in the Creator Program does not automatically transfer ownership of Creator content to De Mairo.

If De Mairo wishes to use Creator content beyond ordinary platform-native sharing or reposting, additional permission may be requested where appropriate.

17. Taxes

Creators are responsible for determining and satisfying their own tax reporting and payment obligations relating to Creator income, commissions or reimbursements.

Shopify or its payout providers may request tax information or documentation where required.

18. No Guaranteed Earnings

Participation in the De Mairo Creator Program does not guarantee any minimum level of sales, commissions, reimbursement, income or other financial return.

Any earnings projections or examples displayed on De Mairo's website are illustrations only and depend on qualifying transactions, product pricing, customer activity, attribution and Program rules.

19. Relationship With De Mairo

Participation in the Creator Program does not create an employment, partnership, franchise, agency, distributorship, joint venture or exclusive relationship between the Creator and De Mairo.

Creators do not have authority to enter into contracts, make commitments or incur obligations on behalf of De Mairo.

20. Suspension & Termination

Either the Creator or De Mairo may end participation in the Program.

De Mairo may suspend or terminate a Creator account for suspected fraud, self-referral, misleading promotion, misuse of discount codes, violation of these Terms or conduct that may reasonably harm De Mairo, its customers or its reputation.

Pending commissions remain subject to validation, refunds, chargebacks, attribution and applicable Shopify Collabs rules.

Uncompleted milestone benefits, including reimbursement or Gold Creator eligibility, may be forfeited where participation is terminated for a material violation of these Terms.

21. Program Changes

De Mairo may modify the Creator Program prospectively, including commission rates, customer discounts, eligible products, reimbursement requirements, Gold Creator benefits and other Program features.

Material changes will apply prospectively and may be communicated through the Creator Program page, email, Shopify Collabs or another reasonable method.

22. Privacy

Information submitted through the Creator application or used in administering the Program may be processed by De Mairo and applicable service providers, including Shopify, for purposes related to Program review, administration, attribution and payouts.

De Mairo's general Privacy Policy continues to apply where relevant.

23. Governing Law

These Terms are intended to be governed by the applicable laws of the Province of Ontario and the federal laws of Canada applicable therein, subject to any mandatory consumer, employment or other legal rights that cannot lawfully be excluded in a Creator's jurisdiction.

24. Acceptance of Terms

By accepting a De Mairo Creator Program invitation or participating in the Program, the Creator confirms that they have read, understood and agreed to these Terms.
